JYP Entertainment's stock jumped more than 14% in after-hours trading on a takeover announcement, and JYP now says it never received the offer. The company claims the email from the Japanese investor was blocked as "blatant spam."

On the 29th, JYP said it "has neither received nor reviewed an officially valid proposal" tied to the recently reported bid.

What the investors announced

The Japanese investment group The NEXROC Group and its affiliate SVCV, Inc. put out a press release on the 26th. They said they were pursuing a stake in JYP and planned a tender offer as early as November, targeting 25% to 50% of JYP's issued shares. They also said they had sent JYP a proposal.

The market reacted fast. JYP shares rose in the regular session, then climbed more than 14% in the after-market. On the 27th, JYP issued a filing denying it had been offered anything.

The spam explanation

The 29th statement added a mechanism. JYP said it checked with its mail service provider and found the NEXROC email had been classified as "blatant spam." Under its security policy, the message failed sender-reliability standards. That category, JYP said, is one where the company cannot see any receipt record. The email was force-blocked and never reached JYP.

So the company's position is consistent: no proposal arrived, so there is nothing to review. Whether NEXROC has other evidence of delivery is not addressed in JYP's statement.

Financial authorities are reportedly watching the situation too, with a warning that an investigation would open if unfair trading is suspected. For now, the gap between a 14% move and a message nobody read is the whole story.

End of story. The OMONAR Desk.
